1. About Townly
Townly (“we”, “us”, “our”) operates the website townly.uk, a hyperlocal offer discovery platform that connects consumers with local businesses across the United Kingdom. Townly is a discovery and directory platform only. We do not process payments, take orders, or act as a party to any transaction between users and businesses.
Townly is operated as a sole trader enterprise in the United Kingdom.
2. Acceptance of Terms
By accessing townly.uk you confirm that:
- You are at least 18 years of age, or that you have the consent of a parent or guardian;
- You have read, understood, and agree to these Terms & Conditions;
- You agree to comply with all applicable laws and regulations of England and Wales.
We reserve the right to amend these Terms at any time. Continued use of townly.uk following any amendment constitutes your acceptance of the revised Terms. We will endeavour to notify registered users of material changes via the email address provided.
3. Definitions
For the purposes of these Terms:
- “Platform” means the website townly.uk and any associated pages, features, and services.
- “Consumer” means any individual who uses the Platform to browse, discover, or redeem offers from local businesses.
- “Business” means any sole trader, partnership, limited company, or other entity that lists, claims, or manages a business profile or offer on the Platform.
- “Offer” means any discount, promotion, deal, event, or special arrangement listed on the Platform.
- “Seeded Content” means information about businesses and offers that Townly has sourced from publicly available sources (including but not limited to business websites, social media pages, and physical signage) and listed on the Platform prior to a formal claim or registration by the Business.
- “User” means any person accessing or using the Platform, whether as a Consumer or a Business.
4. Terms for Consumers
4.1 Nature of the Service
Townly provides a free-to-use directory and offer discovery service. We aggregate and display information about local businesses and their offers to help consumers find relevant opportunities in their area. All offers displayed on the Platform are subject to the individual business’s own terms, conditions, and availability.
4.2 Accuracy of Information
We make reasonable efforts to ensure the accuracy of information displayed on the Platform; however:
- We do not guarantee that any offer is currently available, accurate, or redeemable.
- Offer details, including discounts, dates, and eligibility criteria, are set by the Business and may change without notice.
- It is your responsibility to verify the current availability and terms of any offer directly with the Business before visiting.
- Townly shall have no liability for any loss or inconvenience suffered as a result of relying on information displayed on the Platform.
4.3 In-Store Redemption
All offers listed on the Platform are intended for in-store redemption only. Townly is not responsible for any refusals by a Business to honour an offer or any dispute arising between you and a Business in connection with an offer.
4.4 User Conduct
You agree not to:
- Use the Platform for any unlawful purpose or in a manner that infringes the rights of others;
- Submit false, misleading, or defamatory reviews or content;
- Attempt to reverse-engineer, scrape, or extract data from the Platform by automated means;
- Impersonate any person, business, or organisation;
- Interfere with the operation or security of the Platform.
4.5 User Accounts
Where you create an account on the Platform, you are responsible for maintaining the confidentiality of your login credentials. You must notify us immediately at hello@townly.uk if you suspect any unauthorised access to your account. We reserve the right to suspend or terminate accounts at our discretion.
5. Terms for Businesses
5.1 Business Listings
Businesses may claim or register a listing on the Platform. By doing so, you represent and warrant that:
- You have the authority to act on behalf of the Business;
- All information you provide is accurate, complete, and not misleading;
- You will keep your listing and offer information up to date;
- Any offer you list complies with all applicable laws, including the Consumer Rights Act 2015, the Consumer Protection from Unfair Trading Regulations 2008, and the Digital Markets, Competition and Consumers Act 2024.
5.2 Offer Listings
You are solely responsible for the content of any offer you list, including its accuracy, legality, and availability. You agree that:
- Offers must be genuine and redeemable by consumers visiting your premises;
- You will not list offers that are misleading, discriminatory, or otherwise unlawful;
- Townly reserves the right to remove or edit any offer or listing that we reasonably believe violates these Terms, applicable law, or is otherwise harmful to the Platform or its users;
- Townly may display your business name, address, logo, and offer details as provided by you or sourced from publicly available information.
5.3 Subscription Tiers
Townly offers both free and paid subscription tiers for businesses. The features and limitations of each tier are set out on the Platform and may be updated from time to time. Paid subscriptions are subject to separate payment terms. We reserve the right to change pricing or features with reasonable notice. No refunds will be issued for unused subscription periods unless required by applicable law.
5.4 Business Conduct
Businesses must not:
- Use the Platform to engage in fraudulent or deceptive practices;
- Attempt to manipulate Platform rankings, reviews, or statistics;
- Contact consumers who have interacted with the Platform for unsolicited marketing purposes outside of the Platform’s permitted channels;
- Circumvent or attempt to circumvent any Platform access controls or subscription restrictions.
5.5 Intellectual Property of Businesses
By submitting content (including logos, images, descriptions, and offer details) to the Platform, you grant Townly a non-exclusive, royalty-free, worldwide licence to display, reproduce, and promote that content on the Platform and in related marketing materials for the purpose of operating the service. You represent that you own or have the right to use all content submitted.
6. Seeded Content — Publicly Sourced Business & Offer Information
6.1 What is Seeded Content?
To provide a useful and populated discovery experience for consumers, Townly may proactively list information about local businesses and their offers that has been sourced from publicly available sources. This includes, but is not limited to:
- Business websites and online listings;
- Business social media pages (including but not limited to Instagram, Facebook, and X/Twitter);
- Physical signage visible from a public place;
- Local press, business directories, and other publicly available publications.
This information is referred to in these Terms as “Seeded Content”. Seeded Content is displayed in good faith to support local commerce and community awareness.
6.2 Legal Basis for Seeded Content
Townly relies on the following bases for displaying Seeded Content:
- Legitimate interests: We have a legitimate interest in providing consumers with accurate and useful information about local businesses and offers that businesses have already made publicly available.
- Publicly available information: All Seeded Content is sourced from information the Business has itself published or made visible in a public context. We do not reproduce confidential or privately held information.
- Factual information: We display factual information (name, address, category, and publicly listed offers) rather than personal data or private commercial information.
6.3 Accuracy of Seeded Content
Townly makes reasonable efforts to ensure that Seeded Content is accurate at the time of listing. However:
- We do not guarantee the accuracy, completeness, or currency of any Seeded Content;
- Seeded Content is listed in good faith and is not verified by Townly prior to publication;
- Businesses are encouraged to claim their listing and correct or update any inaccurate information.
6.4 Business Right to Request Removal
If you are a business owner or authorised representative and you wish to have a Seeded Content listing removed from the Platform, you have the right to contact us and we will action your request promptly. To request removal:
- Email us at hello@townly.uk with the subject line: “Listing Removal Request”;
- Include your business name, the URL of the listing on townly.uk, and confirmation that you are authorised to make this request on behalf of the business;
- We will acknowledge your request within 5 working days and remove or disable the listing within 10 working days of verification.
We reserve the right to retain anonymised or aggregated data derived from a listing following removal, where such data does not identify the business or individual.
6.5 No Endorsement
The listing of any business or offer as Seeded Content does not constitute an endorsement, recommendation, or verification by Townly. Townly makes no representations about the quality, safety, legality, or suitability of any business or offer listed on the Platform.
7. Intellectual Property
All content on the Platform that is created by Townly, including but not limited to the Townly name, logo, website design, software, and original written content, is the intellectual property of Townly and is protected by UK and international copyright, trade mark, and other intellectual property laws.
You may not reproduce, distribute, or create derivative works from any Townly content without our prior written consent.
Nothing in these Terms transfers any intellectual property rights to you.
8. Disclaimer of Warranties
THE PLATFORM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, TOWNLY EXPRESSLY DISCLAIMS ALL WARRANTIES INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Without limiting the foregoing, Townly does not warrant that:
- The Platform will be available at all times or free from errors, interruptions, or viruses;
- Any information on the Platform is accurate, complete, or up to date;
- The Platform will meet your requirements or expectations;
- Any offer displayed on the Platform is currently available or will be honoured by the Business.
9. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, TOWNLY, ITS OPERATORS, EMPLOYEES, AGENTS, LICENSORS, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES WHATSOEVER ARISING OUT OF OR IN CONNECTION WITH:
- Your use of, or inability to use, the Platform;
- Any inaccuracy in, or omission of, any information on the Platform, including Seeded Content;
- Any offer displayed on the Platform that is unavailable, withdrawn, or refused by a Business;
- Any transaction or interaction between a Consumer and a Business facilitated through or arising from the Platform;
- Any loss of profit, revenue, goodwill, data, or business opportunities;
- Any unauthorised access to or alteration of your account or data;
- Any conduct or content of third parties on the Platform.
Nothing in these Terms shall limit or exclude our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under English law.
Where liability cannot be excluded but can be limited, our total aggregate liability to you (whether in contract, tort, or otherwise) shall not exceed the greater of: (a) the total fees paid by you to Townly in the 12 months preceding the claim; or (b) £100.
10. Third-Party Links and Content
The Platform may contain links to third-party websites or display content from third-party social media platforms. These links and content are provided for information only. Townly has no control over third-party websites and accepts no responsibility for their content, availability, or privacy practices. Accessing a third-party website from a link on the Platform is done at your own risk.
11. Data Protection and Privacy
Townly processes personal data in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. Our Privacy Policy, which forms part of these Terms, sets out how we collect, use, store, and share your personal data. By using the Platform, you acknowledge and accept our Privacy Policy.

12. Your Statutory Rights
Nothing in these Terms & Conditions affects your statutory rights as a consumer under English law. If you are a consumer, you may have rights under the Consumer Rights Act 2015 and the Consumer Protection from Unfair Trading Regulations 2008, among others. These Terms are not intended to limit those rights.
13. Digital Markets, Competition and Consumers Act 2024 (DMCC Act)
Townly is committed to compliance with the Digital Markets, Competition and Consumers Act 2024. In particular:
- All offers and business information displayed on the Platform are genuine and sourced from publicly available or Business-provided information. Townly does not fabricate, artificially inflate, or misrepresent offers.
- We do not engage in subscription traps or hidden charges. Any paid subscription is clearly presented with its pricing, duration, and cancellation terms.
- We do not display fake or manipulated reviews.
- Any paid placements or promoted listings, where offered, will be clearly identified as such.
14. Termination and Suspension
Townly reserves the right, in its sole discretion, to:
- Suspend or terminate your access to the Platform at any time, with or without notice, if we reasonably believe you have breached these Terms or applicable law;
- Remove any content, offer, or listing from the Platform at any time;
- Discontinue or modify the Platform or any part of it at any time.
Upon termination, any provisions of these Terms that by their nature should survive will continue to apply, including Sections 7, 8, 9, and 16.
15. Changes to the Platform and Terms
We may update the Platform, its features, and these Terms at any time. If we make material changes to these Terms, we will endeavour to provide reasonable notice to registered users. Your continued use of the Platform after any change constitutes acceptance of the updated Terms. We recommend you review these Terms periodically.
16. Governing Law and Dispute Resolution
These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales.
Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales, except where you are a consumer resident in Scotland or Northern Ireland, in which case you may bring proceedings in your local jurisdiction.
